Contributor Assignment Agreement
This agreement explains how NailKnowledge will use, credit, and pay for the nail education content you create.
In summary:
- You are paid a fee agreed in writing before filming
- NailKnowledge owns the finished content so it can be used worldwide
- You are credited as the creator wherever reasonably practicable
- You may share short clips or images for your own promotion
- There are no royalties or future payment claims after payment

Agreement
This Contributor Assignment Agreement (“Agreement”) is made between:
(1) NAIL KNOWLEDGE LIMITED, incorporated and registered in England and Wales with company number 16778444 and registered office at 31 Tower Rd, Burton, DE15 0NH (“NK”);
(2) The Artist, being the individual accepting this Agreement electronically (“Artist”).
Background
A. NK produces digital nail education materials, including video lessons, tutorials, and marketing content (the “Works”).
B. The Artist has created or will create nail art videos and related materials for NK (the “Contributed Works”).
C. NK wishes to acquire full ownership of the Contributed Works upon payment of the agreed fee, and the Artist agrees to assign all rights to NK while retaining limited personal promotional rights as set out below.
1. Interpretation
1.1 Assigned Rights means all copyright and rights in the nature of copyright, including future copyright, in the Contributed Works worldwide.
1.2 Effective Date means the date and time the Artist accepts this Agreement electronically.
1.3 Payment means the fee agreed between NK and the Artist for each Contributed Work, confirmed in writing by NK (email, message, or project brief acceptable) before filming commences.
2. Assignment of Copyright
2.1 In consideration of the Payment, the Artist assigns to NK absolutely and with full title guarantee all rights, title, and interest in the Contributed Works, including all edits, adaptations, and future versions.
2.2 NK may use, reproduce, edit, adapt, distribute, publish, and sell the Contributed Works worldwide, in any media now known or later developed.
2.3 The Artist may reproduce short excerpts or still images from the Contributed Works solely for non-commercial self-promotional purposes, including portfolios, showreels, and social media.
2.4 The Artist retains the moral right to be identified as the author where reasonably practicable and consents to editing required for NK’s educational and commercial use.
3. Warranties
The Artist warrants that:
(a) the Contributed Works are their original creation;
(b) they own all rights and have not assigned or licensed them elsewhere;
(c) the Contributed Works contain nothing unlawful, defamatory, or infringing;
(d) all individuals featured have consented to recording and use of their image.
4. Editorial Control
NK shall have sole editorial control over how the Contributed Works are edited, presented, and distributed, provided such editing does not materially misrepresent the Artist’s work or damage their professional reputation.
5. Usage Rights
5.1 NK retains full ownership and exclusive usage rights in the Contributed Works.
5.2 All Contributed Works will be branded as NailKnowledge content and hosted on NK platforms, including websites, apps, and social media channels.
5.3 The Artist may share promotional clips not exceeding sixty (60) seconds or still images for non-commercial purposes, provided this does not conflict with NK’s commercial use.
6. Credit
NK shall credit the Artist as the creator and educator of the Contributed Works where reasonably practicable, in a format consistent with NK branding and design standards.
7. Payment
7.1 NK shall pay the Artist the agreed Payment for each completed and accepted Contributed Work, as confirmed in writing prior to filming.
7.2 Minor re-recording requests due to small technical or instructional issues are included within the agreed Payment. Any substantial additional filming, redesign, or reworking will be subject to further written agreement before work proceeds.
7.3 NK shall pay the agreed Payment within fourteen (14) days of acceptance of the Contributed Work.
7.4 NK shall not publish or commercially exploit any Contributed Work until payment has been made.
7.5 No royalties, residual payments, or further claims shall be payable beyond the agreed Payment.
7.6 Where applicable, VAT shall be paid upon receipt of a valid VAT invoice.
7.7 Payment terms may be reviewed from time to time by mutual written agreement.
8. Use of Name and Image
The Artist grants NK a non-exclusive, perpetual licence to use their name, likeness, and professional image solely in connection with the marketing and distribution of the Contributed Works.
NK shall not use the Artist’s name or likeness in connection with unrelated content without written consent.
9. Indemnity
9.1 The Artist shall indemnify NK only for losses arising directly from a proven breach of the warranties in Clause 3.
9.2 NK shall indemnify the Artist against claims arising from NK’s use of the Contributed Works outside the scope of this Agreement.
10. Termination and Confidentiality
10.1 Either party may terminate this Agreement for material breach if not remedied within fourteen (14) days of written notice.
10.2 Termination shall not affect NK’s obligation to pay for any Contributed Works delivered and accepted prior to termination.
10.3 Both parties agree to keep confidential any non-public business or commercial information disclosed under this Agreement.
11. Governing Law and Jurisdiction
This Agreement is governed by the laws of England and Wales. The courts of England shall have exclusive jurisdiction.
